Unified terms for visitors, auction companies, sellers, consignors, bidders, and buyers

These Terms of Use ("Terms") are a legal agreement between you and Ablepro, Inc. d/b/a BidBuyZoom ("BidBuyZoom," "we," "us," or "our"). They govern access to and use of bidbuyzoom.com, BidBuyZoom applications, auction pages, account tools, content, communications, and related services (collectively, the "Platform"). These Terms apply to every user, including visitors, auction companies, auctioneers, sellers, consignors, bidders, and buyers. Separate bidder or consignor platform terms are not required.

By accessing the Platform, creating an account, clicking to accept, listing an item, hosting an auction, placing a bid, or completing a transaction, you agree to these Terms and acknowledge that your electronic actions may create binding obligations. If you act for a business or another person, you represent that you have authority to bind that party. If you do not agree, do not use the Platform.

IMPORTANT: Each auction may include auction-specific terms, announcements, disclosures, fees, payment deadlines, pickup or shipping rules, and other conditions established by the auction company (collectively, "Auction Terms"). Review them before bidding, listing, or participating. Auction Terms supplement these Terms for that auction. If Auction Terms conflict with these Terms on a transaction-specific matter, the Auction Terms control between the auction company, seller, and buyer; these Terms continue to govern your relationship with BidBuyZoom.

1. Eligibility and authority

You must be at least 18 years old, have reached the age of majority where you live, and be legally able to enter a binding contract. You may not use the Platform if you are prohibited by law, subject to applicable sanctions or trade restrictions, or suspended from the Platform. Additional age, licensing, residency, identity, or financial requirements may apply to particular items or auctions.

2. Platform role and independent auction companies

BidBuyZoom provides technology that enables independent auction companies and other authorized sellers to create listings, conduct auctions, receive bids, and manage transactions. Unless a listing expressly identifies Ablepro, Inc. as the seller or auctioneer, BidBuyZoom is not the auctioneer, seller, consignor, buyer, broker, appraiser, escrow agent, common carrier, insurer, or party to the sale. Auction companies control their auctions and are responsible for their licenses, employees, consignors, listings, Auction Terms, bid acceptance, invoicing, payment decisions, taxes assigned to them by law, delivery, disputes, refunds, and legal compliance.

We do not ordinarily inspect, authenticate, appraise, possess, store, pack, ship, or insure listed property. We do not guarantee any user's identity, authority, solvency, conduct, item, listing, provenance, condition, authenticity, legality, availability, or transaction performance. We may provide tools, support, moderation, or payment-related functionality without becoming a party to a transaction or assuming an auction company's duties.

3. Accounts and account security

You must provide accurate, current, and complete information and promptly update it. You may maintain only accounts reasonably necessary for legitimate use and may not use multiple accounts to evade limits, manipulate bidding, or conceal identity. Accounts are personal or organization-specific and may not be sold or transferred without our written consent.

You are responsible for credentials, authorized users, devices, and all activity under your account. Notify us promptly at contact@ablepro.net if you suspect unauthorized access. We may require identity, business, tax, payment, licensing, or authority verification and may refuse or limit access when verification is incomplete or raises risk concerns.

4. Auction Terms and announcements

Auction companies may set registration requirements, reserves, starting bids, bid increments, buyer's premiums, taxes, deposits, payment methods, card holds, bidding extensions, closing procedures, inspection opportunities, pickup windows, shipping options, storage charges, default remedies, and other Auction Terms. Oral or written announcements and posted corrections made before or during an auction may amend a listing or Auction Terms to the extent permitted by law. Users are responsible for reviewing the current listing, Auction Terms, and announcements before acting.

5. Bidding and contract formation

A bid is an offer to purchase under these Terms and the applicable Auction Terms. Do not bid unless you intend and are able to complete the purchase. A bid generally cannot be withdrawn or reduced except when the auction company permits it or applicable law requires it. The displayed leading bidder or apparent winning bid is not a guarantee of acceptance or sale.

A sale becomes binding when the auction closes and the auction company accepts the winning bid, or at another time stated in the Auction Terms. Reserve prices, seller confirmation, auctioneer discretion, technical review, fraud review, and other stated conditions may affect acceptance. The auction company may reject bids, reopen bidding, extend or cancel an auction, withdraw or combine lots, correct errors, or resolve bidding disputes when allowed by its Auction Terms and applicable law. BidBuyZoom may assist with technical records but does not determine title or ownership rights.

Platform clocks, countdowns, notifications, and bid-status displays are conveniences. The Platform's server records and the auction company's records control to the extent permitted by law. Internet delays, device settings, refresh timing, email or text delays, and user connection failures do not invalidate an otherwise recorded bid or require an auction to be reopened.

6. Buyer obligations

If your bid is accepted, you must timely pay the hammer price, buyer's premium, taxes, shipping, handling, storage, processing charges, and other disclosed amounts. You must comply with identification, age, licensing, export, transfer, pickup, and delivery requirements. Failure to perform may result in cancellation, resale, loss of deposits, collection costs, storage charges, account restriction, and other remedies stated in the Auction Terms or allowed by law.

Buyers must inspect property or arrange professional inspection when offered. Unless the seller or Auction Terms expressly provide otherwise, property is offered AS IS, WHERE IS, WITH ALL FAULTS, and without a right of return based on condition, age, wear, restoration, measurements, color, attribution, provenance, authenticity, merchantability, fitness, or other characteristics. This paragraph does not waive any warranty or remedy that cannot lawfully be excluded.

7. Auction company, seller, and consignor obligations

If you host an auction, list property, or provide property for sale, you represent and warrant that you have authority to do so and can convey the title or interest described. You must provide accurate material information, disclose known defects and restrictions when legally required, use authentic photographs and descriptions, honor accepted sales, protect bidder and consignor information, keep required records, and comply with all Auction Terms and laws.

You may not list stolen, counterfeit, unlawfully obtained, infringing, unsafe, recalled, embargoed, prohibited, or deceptively described property. You are responsible for consignor agreements, lien and title checks, reserves, settlement statements, proceeds, refunds, chargebacks attributable to your conduct or transaction, tax documentation, fulfillment, and complaints. You must not bid on your own property, arrange undisclosed shill bidding, artificially increase price or demand, or permit employees, consignors, or related parties to do so, except for disclosed lawful reserve-bid practices.

8. Payments, payment processors, and chargebacks

Payments may be processed by an auction company, BidBuyZoom, or a third-party payment processor, as disclosed at checkout or in the Auction Terms. Third-party processor terms and privacy notices also apply. By providing a payment method, you represent that you are authorized to use it and authorize applicable charges, holds, retries, and adjustments for amounts you owe. We may share transaction and verification information with processors, auction companies, financial institutions, fraud-prevention providers, and authorities as permitted by our Privacy Policy and law.

Do not initiate an improper chargeback or payment reversal to avoid a valid purchase obligation. Before disputing a charge, contact the auction company and follow the applicable dispute procedure. Nothing in these Terms limits lawful billing-error rights. We do not guarantee that a payment will be approved or reversed and are not responsible for a processor's independent acts, holds, reserves, delays, or account decisions.

9. Taxes and regulatory charges

Taxes and tax responsibilities depend on the item, transaction, location, parties, and applicable law. BidBuyZoom may calculate, collect, report, or remit taxes when required or when the Platform is configured to do so, but does not guarantee tax treatment. Auction companies, sellers, and buyers remain responsible for information, exemptions, registrations, filings, and amounts assigned to them by law. BidBuyZoom does not provide tax advice.

10. Pickup, shipping, risk of loss, and abandoned property

Pickup, packing, shipping, insurance, title transfer, and risk of loss are governed by the Auction Terms and applicable law. Unless expressly stated, BidBuyZoom does not provide these services. Buyers must meet deadlines and confirm shipping suitability for fragile, hazardous, oversized, regulated, high-value, or restricted property. Uncollected property may be stored, relocated, resold, disposed of, or treated as abandoned only as permitted by the Auction Terms and law.

11. Cancellations, returns, and transaction disputes

Cancellation, return, refund, nonpayment, non-delivery, damage, authenticity, and condition disputes are primarily between the auction company, seller, buyer, consignor, shipper, and payment provider, as applicable. Users should preserve listings, Auction Terms, invoices, photographs, inspection records, messages, and shipping evidence. We may facilitate communications, preserve records, pause account activity, or take protective action, but are not required to decide a private dispute or issue a refund. Mandatory consumer rights remain unaffected.

12. Regulated and restricted property

Users are solely responsible for determining whether property may lawfully be listed, transferred, shipped, exported, imported, possessed, or used. This includes firearms and weapons, ammunition, alcohol, tobacco, controlled substances, hazardous materials, vehicles, vessels, aircraft, wildlife products, ivory, cultural property, livestock, food, medical devices, securities, real estate, and other regulated property. Required licenses, background checks, dealer transfers, permits, disclosures, age checks, and government filings must be completed by the responsible parties. We may prohibit or remove any listing at our discretion.

13. Prohibited conduct

You may not:

• violate law, these Terms, Auction Terms, sanctions, export controls, or another person's rights;
• engage in shill bidding, bid manipulation, collusion, price fixing, false registration, fraud, deceptive listings, or interference with a fair auction;
• use another person's account or payment method without authority, evade fees, avoid restrictions, or submit false identity, tax, licensing, or exemption information;
• upload malware, probe or bypass security, disrupt service, overload infrastructure, intercept communications, or access data or systems without authorization;
• scrape, crawl, harvest, index, copy, train models on, or commercially reuse Platform data or content by automated means without our written permission, except as allowed by law;
• reverse engineer, decompile, copy, frame, mirror, resell, sublicense, or create derivative works from the Platform except where a legal restriction cannot be enforced;
• post unlawful, threatening, defamatory, obscene, discriminatory, privacy-invasive, infringing, counterfeit, or materially misleading content; or
• use the Platform to send spam, harass others, collect personal information improperly, or compete with BidBuyZoom through unauthorized use of Platform content or confidential information.

14. User content and listing license

You retain ownership of content you submit, including listings, photographs, descriptions, documents, messages, and feedback ("User Content"). You grant BidBuyZoom a nonexclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, format, adapt, display, distribute, and otherwise use User Content as reasonably necessary to operate, secure, improve, support, and promote the Platform and the relevant auction or listing. This license lasts while the content is used on the Platform and afterward as reasonably necessary for backups, legal compliance, dispute records, and previously distributed promotional materials.

You represent that you have all rights and permissions needed for your User Content and that our permitted use will not violate law or third-party rights. You should retain your own records and backups. We may remove, restrict, preserve, or disclose User Content when reasonably necessary to enforce these Terms, protect users, respond to legal process, or operate the Platform.

15. Copyright complaints

If you believe Platform content infringes your copyright, send a written notice to BidBuyZoom Copyright Agent, Ablepro, Inc., 3720 Flowood Drive, Flowood, Mississippi 39232, or contact@ablepro.net. The notice should identify the copyrighted work, identify and locate the allegedly infringing material, provide your contact information, state your good-faith belief that the use is unauthorized, state under penalty of perjury that the notice is accurate and that you are authorized to act, and include your physical or electronic signature. We may forward the notice to the user who posted the material.

A user may submit a legally sufficient counter-notice identifying the removed material and its prior location, consenting to appropriate federal court jurisdiction, agreeing to accept service from the complaining party, and stating under penalty of perjury a good-faith belief that removal resulted from mistake or misidentification, together with contact information and a signature. We may terminate repeat infringers in appropriate circumstances. Knowingly material misrepresentations may create liability under applicable law.

16. BidBuyZoom intellectual property

The Platform, including its software, design, compilation, text, graphics, logos, trademarks, interfaces, and non-user content, is owned by or licensed to BidBuyZoom and protected by law. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to use the Platform for its intended purpose. No other rights are granted. BidBuyZoom names, logos, and branding may not be used without written permission.

17. Privacy and electronic communications

Our Privacy Policy explains how we collect, use, and disclose personal information and is incorporated into these Terms. Auction companies may independently collect and control personal information and are responsible for their own privacy notices and legal obligations.

You consent to receive account, security, bid, auction, invoice, payment, support, and other transactional communications electronically. If you separately consent to marketing email, you may withdraw that consent using the unsubscribe link in the email; withdrawal does not affect necessary service messages. You are responsible for maintaining a valid email address and telephone number and for retaining copies of electronic records you need.

Text messages. Text messages are optional. A bidder receives them only after opting in for a specific auction company, and they concern the bidder's account, bids, won lots, invoices, payments, security, and customer support with that auction company; BidBuyZoom does not send marketing text messages. Message frequency varies, and message and data rates may apply. Reply STOP to any BidBuyZoom text message to opt out or HELP for help. Text messages are governed by our SMS Terms and Conditions and SMS Privacy Policy. Consent to receive text messages is not a condition of registering, bidding, or buying.

18. Third-party services and links

The Platform may interoperate with or link to payment processors, identity services, shipping providers, mapping services, social networks, or other third parties. Their terms and privacy practices govern their services. We do not control and are not responsible for third-party content, availability, security, decisions, fees, or performance. A link or integration is not an endorsement.

19. Platform changes, availability, and beta features

We may add, modify, suspend, or discontinue features, impose reasonable limits, perform maintenance, and release test or beta functionality. We do not guarantee continuous, secure, or error-free availability, preservation of every record, delivery of every notice, or compatibility with every device or browser. Users should maintain independent records of legally or commercially important information.

20. Suspension, investigation, and termination

We may investigate activity and may remove content, reject or cancel registrations, restrict bids or listings, withhold Platform access, suspend or terminate accounts, preserve evidence, or cooperate with auction companies, processors, rights holders, and authorities when we reasonably believe action is necessary to enforce these Terms, address fraud or risk, comply with law, or protect the Platform or others. When practical, we may provide notice, but we are not required to do so when immediate action or confidentiality is appropriate.

You may stop using the Platform at any time, but termination does not cancel bids, purchases, payment duties, fees, disputes, or liabilities already incurred. Provisions that by their nature should survive will survive, including ownership, licenses needed for retained records, payment obligations, disclaimers, liability limits, release, indemnity, dispute provisions, and miscellaneous terms.

21. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." BIDBUYZOOM DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE PLATFORM, LISTINGS, USERS, ITEMS, BIDS, RESULTS, PAYMENTS, OR TRANSACTIONS WILL BE ACCURATE, AUTHENTIC, AVAILABLE, SECURE, COMPLETE, LAWFUL, OR ERROR-FREE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THAT EVENT, THE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS EXCLUDES NONWAIVABLE CONSUMER RIGHTS.

22. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDBUYZOOM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL; SUBSTITUTE GOODS OR SERVICES; OR LOSSES ARISING FROM ITEMS, LISTINGS, USERS, AUCTIONS, BIDS, TRANSACTIONS, PAYMENT HOLDS, SHIPPING, UNAUTHORIZED ACCESS, SERVICE INTERRUPTION, OR THIRD-PARTY CONDUCT, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO BIDBUYZOOM FOR USE OF THE PLATFORM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS. AMOUNTS PAID TO AN AUCTION COMPANY, SELLER, SHIPPER, TAXING AUTHORITY, OR PAYMENT PROCESSOR ARE NOT AMOUNTS PAID DIRECTLY TO BIDBUYZOOM.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED. THE ALLOCATION OF RISK IN THIS SECTION IS AN ESSENTIAL BASIS OF THE AGREEMENT.

23. Release

To the maximum extent permitted by law, you release BidBuyZoom and its affiliates, officers, directors, employees, and agents from claims and damages arising from disputes between you and an auction company, seller, consignor, bidder, buyer, shipper, processor, or other third party. This release does not cover claims based on BidBuyZoom's own conduct that cannot lawfully be released. If California Civil Code section 1542 applies, you waive its protections, which generally preserve claims unknown to a releasing party that would have materially affected the settlement if known.

24. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless BidBuyZoom and its affiliates, officers, directors, employees, agents, licensors, and service providers from third-party claims, liabilities, damages, judgments, losses, and reasonable costs and attorneys' fees arising from your User Content, listings, property, auctions, bids, purchases, sales, fulfillment, taxes, violation of these Terms or Auction Terms, violation of law, or infringement of another person's rights. We may control the defense and settlement, and you will reasonably cooperate. You may not settle a claim in a manner that admits wrongdoing by or imposes obligations on an indemnified party without written consent.

25. Governing law and forum

These Terms and any dispute arising from them or the Platform are governed by the laws of the State of Mississippi, without regard to conflict-of-law rules, except to the extent federal law applies. Subject to any nonwaivable right to bring a claim elsewhere, the state courts located in Rankin County, Mississippi, and the United States District Court for the Southern District of Mississippi will have exclusive jurisdiction, and you consent to personal jurisdiction and venue there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

26. Changes to these Terms

We may revise these Terms. We will post the revised Terms and update the effective date and, when required, provide additional notice. Changes apply prospectively from their stated effective date. If a change materially affects existing users, we will provide notice as required by law. Your continued use after the effective date constitutes acceptance; if you do not agree, stop using the Platform. Terms in effect when a bid or listing was submitted continue to govern that transaction to the extent necessary to avoid retroactive impairment.

27. Miscellaneous

These Terms, the Privacy Policy, the SMS Terms and Conditions (if you opt in to text messages), applicable Auction Terms, and any written subscription or service agreement between you and BidBuyZoom constitute the agreement applicable to the subject matter they cover. A signed service agreement controls over these Terms only to the extent it expressly conflicts. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will remain effective.

You may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganization, sale of assets, financing, or by operation of law. No agency, partnership, joint venture, employment, franchise, or fiduciary relationship is created between you and BidBuyZoom. Section headings are for convenience. "Including" means "including without limitation." These Terms are written in English, and any translation is provided for convenience to the extent permitted by law.
